Terms of Service

Alauda AI provides AI agents that perform operational work on your behalf. Today the Service includes paid-ads management through Lauda (strategy, audience, creative, and spend across major ad platforms) and front-desk operations through Audrey (intake, scheduling, follow-up, and after-hours messaging). The Service is designed to give small teams the leverage of a much larger one.

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent that you meet these requirements. If you are using the Service on behalf of a company, you represent that you have the authority to bind that entity to these Terms.

To use the Service you create an account with accurate information including your name, email, company, and website. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use.

• Pricing: the Service is offered on a monthly subscription. Current pricing is available on our website.
• Billing: subscription fees are billed monthly in advance. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.
• Cancellation: you may cancel at any time. Cancellation takes effect at the end of the current billing period and you continue to have access until then.
• Price Changes: we may change pricing with at least 30 days' notice of any increase. Continued use after a price change constitutes acceptance.

• Your Content: you retain all rights to the content, data, and materials you provide to us through the Service. You grant Alauda a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute Your Content solely for the purpose of providing the Service.
• Generated Content: content created by our AI agents on your behalf (e.g. ad creative, message drafts, intake forms) is owned by you once delivered. You are responsible for reviewing and approving generated content before publication.
• Data Access: by connecting third-party services (e.g. ad accounts, scheduling tools, EMRs) to Alauda, you authorize us to access and use data from those services as necessary to provide the Service.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Engage in deceptive or manipulative ads practices that violate ad-platform guidelines
• Distribute malware, spam, or other harmful content through the Service
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Service to build a competing product
• Reverse engineer, decompile, or otherwise attempt to extract source code

We strive to provide reliable and uninterrupted access to the Service, but we do not guarantee that the Service will be available at all times. We may modify, suspend, or discontinue the Service (or any part of it) at any time with or without notice. We will not be liable for any modification, suspension, or discontinuance.

Marketing performance, customer-acquisition outcomes, and front-desk efficiency depend on many factors beyond our control, including platform algorithm changes, market conditions, and your own product and operations. While we use advanced AI and industry practices, no specific ROAS, booking volume, or business outcomes are guaranteed. The Service is provided "as is" and "as available."

If you provide your phone number and opt in to receive SMS or text messages, Alauda will send account and service updates such as report-ready notifications, opportunity alerts, and other account-related communications.

Message frequency varies. Message and data rates may apply. You may opt out at any time by replying STOP, and you may request assistance by replying HELP.

Carriers are not liable for delayed or undelivered messages. Supported carriers include AT&T, Verizon, T-Mobile, Sprint, US Cellular, and other major US carriers.

The Service, including its underlying technology, algorithms, software, designs, and documentation, is owned by Alauda AI, Inc. and is protected by intellectual property laws. Nothing in these Terms grants you any right to use the Alauda or product names, logos, or trademarks without our prior written consent.

Alauda AI and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim shall not exceed the amount you paid in the preceding twelve months.

You agree to indemnify, defend, and hold harmless Alauda AI and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) Your Content.

We may terminate or suspend your access at any time, with or without cause, with or without notice. Upon termination your right to use the Service ceases immediately. Sections that should survive termination include ownership, warranty disclaimers, limitation of liability, and indemnification.

These Terms are governed by Texas law, without regard to conflict of law principles. Any dispute shall be resolved exclusively in Texas state or federal courts, and you consent to personal jurisdiction there.

We may update these Terms from time to time. Material changes will be posted on the website with a new "Last updated" date. Continued use after such changes constitutes acceptance.

• Entire Agreement: these Terms, together with the Privacy Policy, constitute the entire agreement regarding the Service.
• Severability: if any provision is found unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: failure to enforce any right or provision shall not constitute a waiver of that right or provision.
• Assignment: you may not assign these Terms without prior written consent. We may assign or transfer without restriction.
